Terms of Service

These Terms govern your use of YardBill at yardbill.app and its authenticated app. If you don't agree to them, don't use the service. By signing up, subscribing, or otherwise using YardBill, you're agreeing to these Terms.

If something here is unclear, email support@yardbill.app and we'll explain in plain terms before you commit.

1. What YardBill is

YardBill is a web-based quoting and invoicing tool for solo and small-crew landscapers in the United States. It helps you create and send professional quotes, convert approved quotes to invoices, record payments, and manage recurring jobs. That's it. We're not accounting software, we're not CRM software, we're not scheduling software.

You must be:

YardBill is not designed for consumers, hobbyists, or businesses outside the United States. If you sign up from outside the US, we may close your account.

Merchant of Record

When you subscribe, Lemon Squeezy, Inc. is the merchant of record — the legal seller. Lemon Squeezy handles your payment, collects and remits applicable sales tax, and issues your receipts. Your relationship with Lemon Squeezy is also governed by Lemon Squeezy's Terms of Service. Where Lemon Squeezy's terms apply to the payment transaction specifically, they control.

Plans and pricing

Prices may change. We'll give you at least 30 days' email notice of a price increase for an existing subscription; the increase takes effect at your next renewal after that notice.

Free trial

New accounts get a 14-day free trial. No card required to start the trial. If you don't subscribe by day 14, the account becomes read-only — we keep your data but you can't send new quotes or invoices until you subscribe.

7. Third-party services you connect

If you set up a payment link (Stripe, PayPal, or Square) for your customers to pay invoices, that link points at your own account with that provider. We don't process money in that flow — we just include the link. Their terms apply to that relationship.

8. Service availability

We aim for high uptime but we don't guarantee a specific SLA. Planned maintenance will be announced when we have advance notice; emergencies may require unannounced downtime. We're not liable for losses caused by downtime of third-party dependencies (Supabase, Vercel, Lemon Squeezy, Resend, PostHog).

9. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including (but not limited to) merchantability, fitness for a particular purpose, or non-infringement.

YardBill is not legal, accounting, or tax advice. The PDFs and invoices we help you generate are not a substitute for advice from an accountant or attorney in your jurisdiction.

10. Limitation of liability

To the maximum extent permitted by law, YardBill's total liability arising out of or relating to these Terms or the service is limited to the amount you paid YardBill in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data, even if we were advised of the possibility.

Some jurisdictions don't allow certain disclaimers or limitations; in those places the limits apply to the maximum extent the law allows.

11. Indemnification

You agree to defend and indemnify YardBill against third-party claims arising from (a) your use of the service, (b) your content or your customers' content processed through the service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

12. Termination

Either of us can end this agreement anytime:

Sections that should survive termination (ownership, disclaimers, limitations of liability, indemnification, governing law) survive.

13. Changes to these Terms

If we make material changes, we'll email active subscribers at least 14 days before the changes take effect, and update the "Last updated" date at the top of this page. Continued use of the service after the effective date means you accept the new Terms. If you don't agree, cancel before the effective date.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws principles. For any dispute, the parties first agree to try to resolve it in good faith by email for 30 days. If that fails, the dispute will be resolved in the state or federal courts located in Delaware, and both parties consent to personal jurisdiction there.

If a court finds any part of these Terms unenforceable, the rest remains in effect.
